By accessing our website or contracting our services, you agree to be bound in full by these Terms. If you do not agree with any part of these Terms, you must not use our website or services.
1. Definition & Interpretation
In these Terms, the following definitions apply:
- "Company", "we", "us", "our": Refers to Maclunga Investments Limited, a company registered in England & Wales (Company No. 16159292).
- "Client", "you", "your": Refers to any business entity, charity, community interest company (CIC), or individual contracting our services.
- "Services": The productised or bespoke consulting, automation, outsourcing, grant research, and admin services specified in our Service Agreement.
2. Our Services
We provide a range of B2B services, including but not limited to:
- Done-For-You Automation: Integrating AI tools and administrative workflows to eliminate manual repetitive tasks.
- Lead Generation as a Service: Sourcing, qualifying, and delivering prospective leads.
- Recruitment Admin Outsourcing: Admin assistance throughout candidate pipelines and HR support.
- Research & Content Operations: Data collation, desk research, and documentation formatting.
- Grant & Funding Intelligence: Monitoring, screening, and profiling grant opportunities.
- Community Data & Admin Support: Operational backend assistance for charities, CICs, and community interest groups.
The exact scope, deliverables, and timeline of any contracted Service will be outlined in a separate Service Agreement or Statement of Work signed by both parties.
3. Proposals, Service Agreements & Onboarding
Any proposal, quote, or estimate we provide is valid for 30 calendar days from the date of issue. A contract is only formed when both parties have signed a written Service Agreement or when you make your first payment for a productised package. We reserve the right to decline any client or onboarding request at our sole discretion.
4. Fees, Payment, and Founding Member Deal
- Productised Services: Fees for monthly subscriptions (e.g. Lead Gen, Grant Monitoring) are payable monthly in advance via bank transfer or standard secure card processors.
- Bespoke Projects: For custom projects, payment terms are typically 50% upfront deposit and 50% upon project completion or as structured in our Service Agreement.
- Founding Member Deal: We offer a "Founding Member" promotional tier providing 50% off for the first 3 months of service. This offer is capped at our first 10 eligible clients. Following the completion of the 3-month promotional period, standard subscription fees will automatically apply unless the contract is terminated with 30 days written notice.
- Late Payments: We reserve the right to suspend Services, pause automation runs, or withhold deliverables if any invoice remains unpaid for more than 7 days past its due date. Interest on late payments will be charged in accordance with the UK Late Payment of Commercial Debts (Interest) Act 1998.
5. Client Responsibilities and Data Input
To deliver our Services effectively, you agree to:
- Provide us with timely, accurate, and complete information, credentials, and access permissions required for our automation routines.
- Approve draft systems or lead criteria promptly in writing.
- Ensure all materials and data provided to us do not infringe on third-party intellectual property or violate any applicable regulations (e.g. UK GDPR, PECR).
6. Intellectual Property (IP) Rights
- Company IP: We retain all intellectual property rights in any generic automation frameworks, software code templates, custom-built scripts, or proprietary methodologies we develop or use to deliver our services.
- Deliverables IP: Upon full and final payment of all outstanding fees, we grant the Client a non-exclusive, perpetual, royalty-free, worldwide license to use the custom administrative templates, qualified lead spreadsheets, and deliverables created specifically for you under our Service Agreement.
7. Confidentiality
Both parties agree to keep all commercial, proprietary, or operational information disclosed during the contract strictly confidential. We will not disclose any of your confidential business processes or proprietary data to any third party without your prior written consent, except where required by law.
8. Limitation of Liability
To the maximum extent permitted by law in England & Wales:
- We provide our automation tools and leads on an "as is" and "as available" basis. While we strive for absolute accuracy, we do not warrant that automation routines will be 100% error-free or that third-party APIs (e.g. LinkedIn, Make, OpenAI) will maintain uninterrupted uptime.
- Our total aggregate liability under or in connection with any Service Agreement shall be limited to the total amount actually paid by you to us for the specific Service in the 3 months preceding the event giving rise to the claim.
- We shall not be liable for any indirect, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, even if we were advised of their possibility.
9. Cancellation and Termination
- Monthly Subscriptions: You can cancel any monthly recurring subscription package by providing us with at least 30 days written notice before your next scheduled billing date.
- Termination for Cause: Either party may terminate a Service Agreement immediately if the other party commits a material breach of contract that remains uncured for 14 days after receiving written notice of the breach.
10. Governing Law & Jurisdiction
These Terms, and any dispute or claim arising out of or in connection with them (including non-contractual disputes), shall be governed by and construed in accordance with the laws of England & Wales. Both parties agree that the courts of Leeds shall have exclusive jurisdiction to settle any such dispute.
11. Amendments
We reserve the right to update these Terms from time to time. The latest version will always be published on this page with the revision date. Continued use of our website or contracted Services after changes are posted constitutes acceptance of the amended Terms.
